Terms and Conditions

1. Acceptance of Terms

By registering a store, subscribing to a paid plan, or otherwise using KARTA QR ("the Platform," "we," "us"), you ("Merchant," "you") agree to be bound by these Terms and Conditions. If you do not agree, do not use the Platform.

2. Description of Service

KARTA QR provides merchants with a QR-code-linked digital catalog page to display their products, prices, and contact information. KARTA QR is a display and hosting platform only. We are not a party to any transaction between a Merchant and their customers. We do not process payments for products listed on the Platform, do not take ownership of any goods, and are not responsible for the quality, safety, legality, or delivery of any product or service a Merchant offers.

3. Account Registration

You must provide accurate information when registering. You are responsible for maintaining the confidentiality of your account credentials and for all activity under your account.

4. Subscription, Billing, and Cancellation

Subscription fees are billed on a recurring monthly basis at the rate in effect for your chosen plan.

  • Auto-renewal notice: Your subscription renews automatically each month unless cancelled. You may cancel at any time; cancellation takes effect at the end of the current billing period, and no partial-month refund is provided.
  • We reserve the right to change subscription pricing with reasonable advance notice to existing subscribers.
  • Failure to pay may result in suspension of your store's public visibility until payment is confirmed.

5. Merchant Content — Your Sole Responsibility

You are solely responsible for all content you upload to your store page, including but not limited to product names, descriptions, prices, images, and contact information. KARTA QR does not review, verify, or endorse Merchant content before it is published. By uploading content, you confirm that:

  • You own it or have the right to use and display it.
  • It is accurate and not misleading.
  • It complies with the Prohibited Content rules below and with all laws applicable to you and your business.

6. Prohibited Content and Conduct

You may not use the Platform to display, sell, or promote:

  • Sexual, pornographic, or sexually suggestive content.
  • Political content, campaigning, or partisan messaging.
  • Religious proselytizing or content disparaging any religion.
  • Illegal goods or services, including counterfeit or stolen goods.
  • Weapons, ammunition, or explosives.
  • Alcohol, drugs, or drug paraphernalia (except where explicitly licensed and lawful).
  • Content that infringes another party's intellectual property, trademark, or copyright.
  • Hate speech, discriminatory content, or content that harasses or defames any person or group.
  • Fraudulent, deceptive, or misleading claims about products or pricing.

We reserve the sole discretion to remove any content or suspend/terminate any account that violates these rules, without prior notice and without refund.

7. Intellectual Property

You retain ownership of the content you upload. By uploading it, you grant KARTA QR a non-exclusive, worldwide license to host, display, and reproduce that content solely for the purpose of operating the Platform (including generating your printable QR card and promotional materials). KARTA QR retains all rights to its own software, branding, logo, and platform design.

8. Disclaimer of Warranties

The Platform is provided "as is" and "as available," without warranties of any kind, express or implied, including merchantability, fitness for a particular purpose, or uninterrupted/error-free operation.

9. Limitation of Liability

To the maximum extent permitted by law, KARTA QR shall not be liable for any indirect, incidental, or consequential damages, including lost profits or lost sales, arising from your use of the Platform. Our total liability for any claim shall not exceed the subscription fees you paid in the 12 months preceding the claim. Nothing in this section limits liability that cannot be lawfully excluded.

10. Indemnification

You agree to defend and indemnify KARTA QR against any claim, loss, or expense (including legal fees) arising from your content, your use of the Platform, or your violation of these Terms.

11. Privacy

Our handling of your data and your customers' data is described in our Privacy Policy [to be published separately].

12. Governing Law

The specific governing-law and dispute-resolution clause here depends on where the company is formally incorporated — this needs a lawyer's input once that's settled, rather than naming a jurisdiction now.

We may update these Terms from time to time. Continued use of the Platform after changes take effect constitutes acceptance of the revised Terms.
